Article 1. General Conditions
1. Gerlang Translation Agency provides translation and interpretation services pursuant to these Regulations.
Article 2. Placing Orders
1. The scope and deadline of fulfilling an order are agreed by a Customer and Gerlang Translation Agency either personally, in writing, by e-mail or fax. Gerlang Translation Agency provides a Customer with a quotation. After its approval and upon placing an order, Gerlang Translation Agency commences to perform services.
2. An order consists in filling in and signing a form by a person authorised to represent a Customer. An order form is available on our website.
3. A form may be provided personally or sent by e-mail (scan) or fax.
4. Regular customers can place orders by confirming an appraisal and details of an order with an e-mail or by phone.
5. Gerlang Translation Agency may refuse to accept an order without giving reasons and shall notify the Customer to this effect immediately. Gerlang shall not be liable for any damages due to rejecting an order.
6. A Customer cannot order translation of any illegal materials or any texts a Customer is not authorised to dispose.
7. Gerlang Translation Agency may undertake to perform translation services on terms other than specified herein based on an individual agreement with a Customer made in writing.
8. Gerlang Translation Agency shall have the right to subcontract its services.
Article 3. Non-Disclosure Agreement
Gerlang Translation Agency undertakes to maintain confidentiality of any information obtained from a Customer relating to the fulfilment of an order. Gerlang Translation Agency shall disclose any information solely to its employees and subcontractors as necessary for the performance of an order.
Article 4. Prices of services
1. Gerlang Translation Agency charges the prices stipulated in its pricelist and on terms specified therein for specific services set forth in Articles 5 and 6.
2. An appraisal and a price are presented to a Customer who accepts thereof upon signing an order.
3. Remuneration is payable under VAT invoices issued by Gerlang Translation Agency.
4. A Customer authorizes Gerlang Translation Agency to issue VAT invoices without the Customer's signature.
5. A Customer undertakes to pay any due amounts within 7 days since the receipt of an invoice. Any longer payment terms are subject to agreement with Gerlang Translation Agency.
6. Quoted prices are net amounts and 22% VAT is added for domestic services.
Article 5. Translation
1. A standard page of non-certified translation features 1800 characters (incl. spaces) and a price is charged based on a source text. If documents are provided in an editable format, accounts are made on an individual basis.
2. A standard page of certified translation amounts to 1125 characters (incl. spaces). A target text is the basis for charging for certified translations.
3. In case of special or express services, the Customer acknowledges and agrees that services may be performed by a team of translators and proofreaders, which may affect the cohesion of terminology.
4. In case of translations of more than 18 standard pages per day, a rate is determined on an individual bases.
5. A deadline for the provision of services is set exclusive of Saturdays, Sundays, public holidays and a day when an order is received.
6. A price includes a single printout.
7. A price of non-certified translation does not include the preparation of a text for distribution or publication. Such texts require additional editing that may be provided by Gerlang Translation Agency for an additional fee. A Customer is obliged to advise Gerlang Translation Agency if texts are designated for publication or distribution.
8. Any justified complaints shall be remedied by Gerlang Translation Agency free-of-charge. Filing a complaint does not affect a payment term.
9. A Customer may cancel an order at any time, however shall pay for any work performed until such cancellation and refund any costs incurred by Gerlang Translation Agency due to the order. A translation shall be cancelled in writing.
Article 6. Interpretation
1. Working time of an interpreter is charged from the time of starting interpretation to the time of ending the ordered services. If the actual working time exceeds the time provided for in an order, the working time is calculated since a translator reports for work until he/she is released by a Customer.
2. In case of consecutive interpretation, a unit of measure is one hour and the minimum remuneration for consecutive interpretation during one day is charged for 3 hours.
3. In case of simultaneous (cabin) interpretation, a unit of measure is four hours. The minimum remuneration for simultaneous interpretation during one day is charged for four hours.
4. In case of interpretation performed outside the residence of an interpreter, remuneration is charged for at least eight hours. A Customer is obliged to cover costs of travel, accommodation and board.
5. A fee is charged for every started hour of interpretation.
6. In case of interpretation that exceeds eight hours, remuneration for the following hours equals the rate for four hours.
7. If interpretation is performed on Sundays, public holidays or at night, the basic rate is increased by 100%.
8. A Customer may cancel an order without any consequences: a) at the latest two working days before the planned commencement of services in case of consecutive interpretation planned for maximum 2 days, b) at the latest three working days before the planned commencement of services in case of consecutive interpretation planned for 3-5 days b) at the latest seven working days before the planned commencement of services in case of consecutive interpretation planned for more than 5 days or simultaneous (cabin) interpretation.
9. If an order is cancelled at notice shorter than provided for in Item 9 above, a Customer shall pay a contractual penalty amounting to 30% of an order value. In case of an order cancelled on the day of its performance, a Customer shall pay a contractual penalty amounting to 100% of an order value.
10. Gerlang Translation Agency may require an advance payment amounting to 30% of an order value. Gerlang Translation Agency shall commence to fulfil an order given in writing and upon receipt of an advance payment. The advance payment shall be made in cash or with a transfer to a bank account pursuant to a VAT invoice.
11. An interpreter shall have the right to refuse to render services if equipment provided by a Customer is non-operative.
Article 7. Final Provisions
1. The information provided on the website of Gerlang Translation Agency does not constitute an offer in the meaning of the Civil Code.
2. Gerlang's pricelist and these Regulations do not constitute an offer in the meaning of the Civil Code.
3. The indemnity for any damage due to services provided by Gerlang Translation Agency shall be limited to the value of net remuneration (exclusive of VAT) due to Gerlang for its services.
4. The seat of Gerlang shall be the place of executing and performing a contract between Gerlang Translation Agency and a Customer.
5. Any disputes arising between the Parties with regard to any defects in services provided by Gerlang Translation Services hereunder shall be resolved amicably. If no amicable solution is possible, a dispute shall be resolved by a court competent for the seat of Gerlang.
6. Polish law shall apply to any disputes between Gerlang and a Customer.
7. Following the due provision of services by Gerlang, the Customer agrees on the use of its logo for marketing purposes by Gerlang, unless other contracts provide for otherwise.
8. A Customer undertakes not to execute any contracts for translation or interpretation services with any translators or interpreters performing services on behalf of Gerlang without the agency of Gerlang for the period of 12 months since the provision of the last translation to a Customer by Gerlang Translation Agency.
9. A Customer undertakes to indemnify Gerlang Translation Agency against any claims from any third parties arising due to the violation of any laws by the Customer.
10. Gerlang Translation Agency reserves the right to amend these Regulations and the pricelist. Information on any amendments shall be sent to the Customer by mail or e-mail. Any orders placed after the receipt of information on such changes shall be considered to be an approval of new regulations.
11. Provisions of the Civil Code shall apply to any issues not governed herein.
